These Terms of Service constitute a legally binding agreement between you ("Client") and Clay Design and Technologies ("ClayDesign") governing your use of our website at claydesign.in and all creative services we provide.
By submitting an enquiry, signing a proposal, or making any payment, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not engage our services.
We may update these Terms at any time. Material changes will be communicated to active clients by email. Continued engagement after notice constitutes acceptance.
ClayDesign provides creative and digital services including but not limited to:
The specific scope of each engagement is defined in an individual project proposal or statement of work, which forms part of these Terms when agreed by both parties.
We reserve the right to decline any project at our sole discretion.
All project proposals are valid for 14 calendar days from the date of issue. After this period, proposals may be revised to reflect updated pricing or availability.
Any changes to the agreed scope — including additional pages, features, or revision rounds — must be agreed in writing as a change order before work commences. Change orders may affect the project timeline and total fee.
Scope creep policy: Work beyond the agreed scope will be paused until a change order is signed and any additional deposit received. We will always notify you before this happens.
Projects begin only once the signed proposal and initial deposit (typically 50% of total fee) have been received. Timeline commitments assume timely kick-off from this point.
For retainer engagements, invoices are issued on the 1st of each month and due within 7 days.
Overdue invoices incur a late payment fee of 2% per month on the outstanding balance. Work may be suspended on any project with an overdue invoice, and final files withheld until all amounts are settled.
We accept bank transfer (NEFT/RTGS/IMPS), Razorpay (UPI, cards, net banking), and international wire transfers. All fees are exclusive of applicable GST for Indian clients.
Deposits are non-refundable once work has commenced. If a project is cancelled mid-way, fees for all work completed to date become immediately due at our standard hourly rate.
Our standard packages include two rounds of revisions per major deliverable. A revision round means one consolidated set of feedback applied in a single iteration.
All designs, code, concepts, and deliverables remain our intellectual property until full payment of all project fees has been received. You may not use any deliverable until final payment is cleared.
Upon receipt of full payment, all agreed deliverables are transferred to you with full ownership rights — except for licensed third-party assets, fonts, or plugins as specified in the proposal.
You are responsible for maintaining licences for any third-party fonts, stock photography, icon sets, or plugins after project handover.
Unless you request confidentiality in writing, ClayDesign reserves the right to display completed work in our portfolio, case studies, social media, and marketing materials.
As the Client, you agree to:
Delays caused by late feedback, missing content, or delayed approvals will extend the project timeline and are not grounds for refund or fee reduction.
Both parties agree to treat as confidential any proprietary business information shared during the engagement, including unreleased products, pricing, and business plans.
ClayDesign will not disclose confidential information to any third party without your written consent, except as required by law or to trusted service providers bound by confidentiality obligations.
If your project requires a formal NDA, please request this before the discovery call. We are happy to sign standard mutual NDAs.
You may cancel a project at any time by notifying us in writing. Upon cancellation, fees for all work completed become immediately due, the initial deposit is non-refundable, and work will be delivered once outstanding fees are settled.
We reserve the right to terminate an engagement with 7 days' written notice if payment obligations are not met, the Client engages in abusive behaviour, or project requirements change materially. Any prepaid fees for uncommenced work will be refunded.
If a project is paused due to Client inaction for more than 60 days, we reserve the right to treat it as cancelled and apply our cancellation policy.
To the maximum extent permitted by law, ClayDesign's total liability shall not exceed the total fees paid for the specific project giving rise to the claim.
We shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of revenue, data, or business.
ClayDesign is not responsible for third-party platforms, hosting providers, CMS systems, or plugins used in your project. We will assist in good faith but cannot guarantee third-party availability or behaviour.
These Terms are governed by the laws of India. Any disputes are subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India.
Before formal legal proceedings, both parties agree to attempt resolution through good-faith negotiation for 30 days from the date a dispute is first notified in writing.
